Terms End For Three TVA Directors

The Tennessee Valley Authority has filed a disclosure statement with the U.S. Securities and Exchange Commission to note the terms of three members of the TVA board of directors — Dennis Bottorff, Robert (Mike) Duncan and Thomas (Tom) Gilliland — have expired following the adjournment of the first session of the 112th Congress.
The vacancies will not impair the board’s ability to transact business. Under the TVA Act, five members of the nine-member board constitute a quorum. A board with even fewer members is authorized to provide for continuity of TVA operations. The board will now have six members for the foreseeable future.
Directors are nominated by the President and confirmed by the Senate. Terms are for five years.
The terms of two other directors — Marilyn Brown and William Graves — will expire on May 18, 2012. Directors whose terms expire in a given year may serve until the end of that year’s session of Congress unless a successor is in place.
